Agreement

These Terms of Service ("Terms") govern your access to and use of the SmartRallies mobile app, staff portal, and related online services (the "Services"). By accessing or using the Services, you agree to these Terms. If you are using the Services on behalf of an organization, you represent that you have authority to bind that organization.

Accounts and access

Accounts may be created or provisioned by your club, league, or SmartRallies. You are responsible for safeguarding your credentials and for activity under your account. Notify your administrator or support promptly if you suspect unauthorized access.

Acceptable use

You agree not to misuse the Services. Prohibited conduct includes: attempting to gain unauthorized access; interfering with or disrupting the Services; using the Services to violate law or others' rights; reverse engineering except where applicable law permits; or using automated means to access the Services in a way that impairs performance or security.

Content and data

You may submit or manage data through the Services (for example roster, match, or operational information). You retain your rights in your content. You grant SmartRallies a license to host, process, and display that content only as needed to provide and improve the Services, consistent with our Privacy Policy.

Availability and changes

We strive for reliable operation but do not guarantee uninterrupted access. We may modify, suspend, or discontinue features; we may update these Terms with reasonable notice where appropriate.

Disclaimer

THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE." TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTRALLIES AND ITS SUPPLIERS DISCLAIM ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, SMARTRALLIES AND ITS SUPPLIERS WILL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR LOSS OF PROFITS, DATA, OR GOODWILL. OUR AGGREGATE LIABILITY FOR CLAIMS RELATING TO THE SERVICES WILL NOT EXCEED THE AMOUNT YOU PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS BEFORE THE CLAIM (OR, IF NO FEES APPLY, ONE HUNDRED U.S. DOLLARS (USD $100)).

Indemnity

You will defend and indemnify SmartRallies and its affiliates, officers, and employees against claims arising from your misuse of the Services or violation of these Terms, subject to applicable law.

Governing law

These Terms are governed by the laws of the jurisdiction stated in your organization's agreement with SmartRallies, or, if none is stated, the laws applicable where SmartRallies is organized, without regard to conflict-of-law rules.
